Terms of Service
These Terms explain the rules for using Wisdify's web app, mobile app, courses, CPE records, purchases, and subscriptions.
Agreement and Scope
- These Terms of Service are an agreement between you and Wisdify LLC ("Wisdify," "we," "us," or "our"). They apply to the Wisdify website, web app, mobile app, courses, certificates, subscriptions, purchases, and related services (together, the "Service").
- By creating an account, using the Service, or completing a purchase, you agree to these Terms, the Refund & Cancellation Policy, and the Privacy Policy. If you do not agree, do not use the Service.
- If you use the Service for an employer or another organization, you confirm that you are authorized to do so. Any additional written agreement between that organization and Wisdify controls if it conflicts with these Terms.
Eligibility and Your Account
- You must be at least 18 years old and legally able to enter into a contract to create an account or make a purchase.
- Provide accurate information, keep it current, protect your sign-in credentials, and promptly tell us if you suspect unauthorized use. You are responsible for activity on your account unless caused by our failure to use reasonable safeguards.
- An individual learner account is personal and may not be shared or transferred. Learning activity, assessments, completions, and certificates must belong to the person named on the account.
Courses and CPE Credit
- Wisdify provides self-study continuing professional education. To earn CPE credit, you must satisfy the course requirements shown in the Service, which may include listening or viewing requirements, checkpoints, identity or activity controls, assessments, and a completion deadline.
- You are responsible for deciding whether a course meets your professional, licensing, employer, or jurisdictional requirements. State boards of accountancy and other regulators have final authority over whether they accept a course or credit.
- We maintain learning, assessment, completion, and certificate records to administer the Service, verify CPE, address disputes, and meet sponsor, legal, tax, accounting, and audit obligations.
Prices, Purchases, and Payment
- Before you pay, the checkout shows the product or plan, price, currency, amount due, and, for a subscription, the renewal amount and frequency. By submitting payment, you authorize that charge and any recurring charges disclosed at checkout.
- Stripe or another payment provider processes card payments. Wisdify does not store your full card number. You are responsible for applicable taxes and for keeping your billing information current.
- We may correct an obvious pricing or product-description error before fulfilling an order. If we cancel an affected purchase after charging you, we will refund the charge.
Subscriptions and Automatic Renewal
- A subscription renews automatically at the price and frequency shown at checkout until you cancel it. You authorize us to charge the payment method on file for each renewal and applicable taxes.
- You may cancel from Account, then Billing, or by contacting us. Cancellation stops the next renewal and normally leaves access active through the end of the paid billing period. A cancellation alone does not refund or prorate the current period.
- If a subscription price changes, we will provide advance notice before the new price is charged. You may cancel before that renewal. We may pause or end paid access if a payment fails or is reversed.
Refunds, Reversals, and CPE Revocation
- Refund eligibility is governed by the Refund & Cancellation Policy. In simple terms, a purchase is generally refundable while no CPE has been earned from it. Once CPE has been earned, the related purchase is normally not refundable, except where required by law or where we approve an exception.
- If we refund a payment, or a bank, card issuer, or payment provider reverses it after CPE was earned, we may revoke the completion, certificate, and CPE credit connected with that payment. A revoked certificate is no longer valid and must not be claimed or submitted as earned credit.
- If you dispute a payment, we may provide the payment provider or card network with relevant transaction, policy-acceptance, account-access, course-progress, completion, certificate, and communication records. Nothing in these Terms limits rights that cannot legally be waived, including any rights you may have through your card issuer.
Permitted Use
- Wisdify grants you a limited, personal, non-exclusive, non-transferable, and revocable right to use the Service and content you are entitled to access for your own learning and CPE purposes.
- You may not copy, sell, redistribute, publicly display, record, scrape, or create derivative works from the Service or its content unless we give written permission or the law allows it. You may not bypass payment, playback, anti-skip, assessment, identity, security, or access controls.
- You may not use another person's account, provide false completion information, interfere with the Service, introduce harmful code, probe for vulnerabilities without authorization, or use the Service for unlawful, fraudulent, or abusive activity.
Ownership and Feedback
- The Service, course materials, software, branding, and related intellectual property belong to Wisdify or its licensors. These Terms do not transfer ownership to you.
- If you voluntarily send us suggestions or feedback, you allow us to use them without restriction or payment. This does not give us ownership of your personal information, which is handled under the Privacy Policy.
Service Changes and Availability
- We may improve, update, replace, or discontinue parts of the Service. We do not promise uninterrupted or error-free availability, but we will use reasonable care in operating the Service.
- If we withdraw a course you separately purchased before you complete it, or an unresolved technical fault prevents completion, the Refund & Cancellation Policy explains the remedy.
- The Service may link to or depend on third-party services. Those providers may have their own terms and privacy practices, and we are not responsible for matters outside our reasonable control.
Suspension and Termination
- You may stop using the Service at any time. You may also close your account through the available account controls, subject to retention of records we must keep for CPE, legal, tax, accounting, fraud-prevention, and audit purposes.
- We may restrict or suspend access when reasonably necessary to address nonpayment, a payment reversal, account compromise, fraud, cheating, unlawful activity, harm to the Service or others, or a material breach of these Terms. When practical, we will give notice and an opportunity to resolve the issue.
- Ending or suspending an account does not erase amounts already due, valid CPE records, or terms that by their nature should continue. It also does not remove refund or consumer rights provided by law or the Refund & Cancellation Policy.
Disclaimers
- The Service and content are provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not guarantee that every course will be accepted by a particular regulator, employer, or licensing body, or that use of the Service will produce a particular professional result.
- Nothing in the Service is legal, tax, accounting, investment, or other professional advice for a specific situation. You remain responsible for applying professional judgment and consulting an appropriate adviser when needed.
- Some jurisdictions do not allow certain warranty exclusions. Any exclusion in these Terms applies only to the extent the law permits.
Limitation of Liability
- To the fullest extent permitted by law, Wisdify and its directors, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities arising from the Service.
- To the fullest extent permitted by law, their total liability for claims arising from the Service will not exceed the greater of the amount you paid Wisdify during the 12 months before the event giving rise to the claim or $100.
- These limitations do not apply to liability that cannot legally be limited, including liability for fraud, willful misconduct, or personal injury caused by negligence where the law forbids that limitation.
Governing Law and Disputes
- These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any court proceeding must be brought in a state or federal court in Florida, unless applicable consumer law gives you the right to bring it elsewhere.
- Before filing a claim, please contact us and describe the problem so we can try to resolve it informally. This does not shorten a legal deadline or require you to give up any right to contact a regulator, card issuer, or other authority.
Changes to These Terms
- We may update these Terms as the Service or law changes. We will post the revised Terms and update the date above. If a change materially affects your rights or an active paid subscription, we will provide reasonable advance notice when required and apply the change prospectively.
- Continuing to use the Service after revised Terms take effect means you accept them. Changes will not retroactively alter the price or refund terms that applied to a completed purchase unless you expressly agree or the law requires it.
General Terms
- These Terms, the Refund & Cancellation Policy, the Privacy Policy, and any applicable written order or organization agreement are the entire agreement about the Service. If one provision is unenforceable, the remaining provisions continue in effect.
- A delay in enforcing a provision is not a waiver. You may not transfer these Terms or your account without our written permission. We may transfer these Terms as part of a merger, acquisition, reorganization, or sale of the Service, subject to applicable law.
- You agree that we may send account, security, billing, CPE, policy, and legal notices electronically to the email address on your account or through the Service.
